These Terms of Service (“Terms”) are a binding agreement between you and PivotNest Labs Inc. (“PivotNest,” “we,” “us,” or “our”). These Terms govern your access to and use of our membership-based services provided through Trusted Trade Hub / Local Trade Hub, including the Downtown Nashville Trade Hub chapter (collectively, the “Services”).

By accessing or using the Services, creating an account, purchasing a membership, registering for or attending an event (in-person or virtual), participating in a meeting or call, or submitting a form, you agree to these Terms and our Privacy Policy (available at tradehub.thetrustedtradesmen.com/privacy-policy ), which is incorporated by reference. 1. Who We Are
Legal entity: PivotNest Labs Inc.
Brand names: Trusted Trade Hub / Local Trade Hub (including local chapters such as Downtown Nashville Trade Hub)
The Services are a membership-based organization that may include: meetings, events, group calls, concierge support, AI-enabled features, data management, member-to-member connections, and introductions to third parties where appropriate.
2. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements.
3. Accounts and Security
You may need to create an account to access member-only features. You agree to:
• Provide accurate, current information and keep it updated.
• Keep your login credentials confidential.
• Notify us promptly of any unauthorized use of your account.
You are responsible for activity that occurs under your account.
4. Membership Services and No Guaranteed Outcomes
Membership may include access to some or all of the following (depending on plan, chapter, and availability):
• In-person meetings and events
• Virtual meetings, trainings, and group calls
• A member portal and community features
• Concierge connections and introductions
• AI-enabled tools (e.g., summaries, suggested connections, organization, drafted messages)
• Event invitations, reminders, and announcements
No guarantee: The Services are designed to facilitate community and connections, but we do not guarantee introductions, referrals, leads, business outcomes, revenue, attendance, or results of any kind.
5. Member Directory and Community Visibility
The Services may include a member directory and community tools. Depending on your profile, participation, and system settings, certain information (including name, business name, category, city/region, email, and phone number) may be visible to other members inside the member portal or community features.
You agree:
• Not to scrape, export, harvest, or compile member information.
• Not to use member information for unsolicited bulk outreach, spam, or unlawful solicitation.
• To comply with all applicable laws when contacting others (including telemarketing and texting laws).
We may suspend or terminate access for misuse of member data or violations of these Terms.
6. Communications and Consent (Email, Phone, SMS)
By providing your contact information and using the Services, you agree we may contact you for:
A) Transactional/operational communications
Examples: account notices, event confirmations, reminders, membership support, receipts, security alerts, policy updates.
B) Marketing communications (where you opt in or where permitted by law)
Examples: membership offers, upcoming events, announcements, related PivotNest product updates.
You can opt out of marketing communications as described in Section 7 and in the Privacy Policy.
Carriers are not liable for delayed or undelivered messages.
7. SMS Messaging Terms (A2P/10DLC-Aligned)
If you provide your mobile number and opt in (or otherwise consent where required), you consent to receive SMS/MMS text messages from PivotNest Labs Inc. related to Trusted Trade Hub / Local Trade Hub, including:
• Event invitations, confirmations, and reminders
• Membership updates and community announcements
• Concierge coordination and support messages
• Marketing/promotional messages (only where you have opted in or where permitted by law)
Message frequency varies. Message and data rates may apply.
Opt out: Reply STOP to unsubscribe from SMS messages.
Help: Reply HELP for help, or email [email protected].
Carriers are not liable for delayed or undelivered messages.
As always, message and data rates may apply for any messages sent to you from us and to us from you. You will receive [message frequency]. If you have any questions about your text plan or data plan, it is best to contact your wireless provider..
You can cancel the SMS service at any time. Just text "STOP" to the [Phone Number]. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again. If you are experiencing issues with the messaging program you can reply with the keyword HELP for more assistance, or you can get help directly at [email protected].
Group Text Visibility
If we use a group-message format where participants can see each other’s numbers, your phone number may be visible to other participants. If you do not want that, do not join the group thread, and/or reply STOP.
8. Payments, Subscriptions, Renewal, Cancellation, and Refunds
Payment processing: We use third-party payment processors. We do not store full card numbers; payment details are handled by the processor under its terms.
Auto-renewal: If you purchase a recurring membership, you authorize recurring charges until you cancel.
Cancellation: You may cancel by contacting [email protected]. Cancellation stops future renewals. Unless otherwise stated, you may retain access until the end of your current paid period.
Refunds: Unless expressly stated at checkout or required by law, fees are non-refundable. Event and special-program refund policies may differ and will be disclosed at purchase/registration.
9. Recording, Transcripts, and Media Release
A) Notice of Recording
We may record (audio and/or video) some or all of the following:
• In-person meetings and events
• Virtual meetings, group calls, and webinars
• Phone calls with our team (including concierge and support)
We may also create transcripts, summaries, clips, recaps, and notes, including using AI tools.
Where required by law, we will provide notice and obtain required consent. By participating after notice is provided, you consent to recording.
If you do not wish to be recorded, do not participate in the recorded session/call.
B) Use of Recordings (Member Library + Public Posting)
We may use recordings and derived content to:
• Provide replays and a content library to members
• Improve training, quality, operations, and service delivery
• Support concierge matching and relationship-building workflows
• Publish or broadcast certain meetings (or excerpts) publicly (e.g., on our website or social channels)
If a session is intended for public posting, we may provide notice in the event description, registration flow, and/or at the start of the session. You understand we may not be able to fully remove your appearance from content already distributed, but you may request review by emailing [email protected].
10. AI Features and Disclaimers
The Services may include AI-enabled features (e.g., summaries, suggested connections, organization, drafted messages). You agree and acknowledge:
• AI outputs may be inaccurate, incomplete, or outdated.
• AI outputs are for informational purposes only and are not legal, financial, medical, or professional advice.
• You are responsible for verifying information and making your own decisions.
• Do not submit sensitive data you do not want processed, unless necessary for the feature.
11. Third-Party Offerings and Affiliate Relationships
The Services may include or promote third-party offerings, tools, events, or services. These are provided by third parties, and your dealings with them are between you and them.
We may receive compensation (including affiliate commissions or referral fees) from:
Third-party offers promoted through the Services
Partners or affiliates who promote membership and receive compensation for referrals
We do not guarantee third-party offerings.
12. Acceptable Use and Community Standards
You agree not to:
• Harass, threaten, discriminate, or defame others
• Post unlawful, deceptive, or infringing content
• Use the Services for spam, scraping, or unsolicited bulk outreach
• Circumvent security or access controls
• Interfere with or disrupt the Services
• Record other members privately where consent is required by law
• Misuse member data or confidential information
We may remove content and suspend/terminate access for violations.
13. Intellectual Property
The Services (including branding, recordings as a compilation, portal content, templates, workflows, software, and design elements) are owned by PivotNest or its licensors and protected by intellectual property laws. You receive a limited, revocable, non-transferable license to use the Services for their intended purposes during your membership.
14. Your Content
If you submit or post content (including profile details, posts, messages, media), you grant PivotNest a non-exclusive, worldwide, royalty-free license to host, use, reproduce, display, and distribute such content as necessary to operate and improve the Services and as described in these Terms and our Privacy Policy.
15. Suspension and Termination
You may stop using the Services at any time.
We may suspend or terminate your access if you:
• Violate these Terms
• Misuse the member directory or community
• Create risk for the community or platform
• Fail to pay required fees
• Engage in unlawful conduct related to the Services
16. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIVOTNEST WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF:
(A) THE AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR
(B) $100.
18. Indemnification
You agree to defend, indemnify, and hold harmless PivotNest and its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your content, your violation of these Terms, or your violation of law.
19. Governing Law; Venue; Dispute Resolution
These Terms are governed by the laws of the State of Tennessee, without regard to conflict of law principles.
Unless arbitration applies (if included below), you agree that any dispute will be brought in the state or federal courts located in Davidson County, Tennessee, and you consent to personal jurisdiction there.
20. Changes to These Terms
We may update these Terms from time to time. If changes are material, we will provide notice by updating the “Last Updated” date and/or by posting notice in the Services. Your continued use after changes means you accept the updated Terms.
21. Assignment
You may not assign these Terms without our written consent. We may assign these Terms to an affiliate or successor, including if the Services are moved into a new entity as the business grows.
22. Entire Agreement; Severability; Waiver
These Terms and the Privacy Policy are the entire agreement between you and PivotNest regarding the Services and supersede prior discussions. If any provision is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver.
